PPC agency contract red flags

Most PPC agency problems aren't fraud — they're ordinary contract terms that quietly favour the agency over the advertiser, and go unnoticed because nobody reads the account-ownership clause carefully before signing. These are the terms worth slowing down on.

Who owns the Google Ads account?

Look for language specifying that the Google Ads account, its login, and its historical data belong to you, the advertiser — not the agency.

  • A contract that's silent on account ownership is itself a red flag — it should say explicitly who owns the account.
  • Watch for an agency account structure where you're only a limited user rather than an admin on your own account.
  • Ask what happens to historical performance data and conversion history if you leave.

Lock-in and termination terms

Check the minimum term, the notice period, and any penalty for leaving early.

  • Long minimum terms (a year or more) with no early-exit option limit your options if things aren't working.
  • Automatic renewal clauses that silently extend the contract unless you cancel by a specific date.
  • Exit fees or penalties beyond simply paying for work already done.

Reporting and transparency clauses

Check whether the contract guarantees you access to raw account data, not just a prepared report.

  • Does the contract guarantee read access to the Google Ads account itself, not just a monthly PDF?
  • Does it specify what's included in reporting (search terms, changes made, conversion detail) or leave it vague?
  • Is there a clause preventing the agency from withholding reporting if a dispute arises?

Fee structure and what it incentivises

A percentage-of-spend fee can create an incentive to recommend higher budgets regardless of results — worth understanding, not necessarily avoiding.

  • Percentage-of-ad-spend fees: ask what service level that percentage actually buys.
  • Flat fees: ask what happens if your account needs significantly more or less work in a given month.
  • Any bonus or performance clause: check exactly what metric it rewards, since the wrong metric can be gamed.

Vague deliverables

Contracts that describe services in general marketing language ('ongoing optimisation', 'strategic oversight') without specifics make it hard to know what you're owed each month.

Ask for the vague language to be replaced with specifics: what gets reviewed, how often, and what you'll receive to verify it happened.

Limitations of this guide

  • This isn't legal advice. Have a contract reviewed by a professional before signing if the stakes are significant for your business.

Frequently asked questions

Is a percentage-of-spend fee automatically bad?

No, it's common. The concern is when it isn't paired with transparency about account ownership and reporting, which makes it harder to tell if the fee matches the work.

What's the single most important clause to check?

Account ownership and access. If you don't own and can access your own Google Ads account, every other term matters less.

Should I ask a lawyer to review a PPC contract?

For a significant ongoing spend or long contract term, it's reasonable to have someone review it, the same as any other services agreement.
